1. Services

1.1 Bulzz Platform

Bulzz provides a software-as-a-service ("SaaS") platform that enables Shops to:

• Manage bookings and walk-in queues
• Manage customer profiles and visit history
• Record and reconcile payments
• Access dashboards and analytics
• Manage staff accounts and roles
• Be discoverable by Customers via Bulzz.

1.2 No exclusivity

Bulzz may provide the Service to other Shops, including competitors. These Shop Terms do not grant any exclusivity.

2. Account registration and responsibilities

2.1 Business information

You must provide true, accurate and complete information about your business (including name, registration number, address, contact person and payment details) and keep it updated.

2.2 Staff accounts

You are responsible for managing your staff accounts, roles and permissions and for all activities carried out under your business account.

2.3 Compliance with law

You are solely responsible for complying with all applicable laws, including licensing, labour, tax and consumer protection laws, and for ensuring that your use of Bulzz complies with Rwanda's data protection law and any other applicable data protection regulations.

3. Subscription, fees and payment

3.1 Subscription plans

Bulzz may offer different subscription plans (basic, standard, or premium). Plan details, features and pricing are as indicated in the Bulzz dashboard or order form.

3.2 Commission on transactions

Transactions made through the Bulzz mobile/web application will be charged 3% commission no matter the amount of transaction.

3.3 Fees

You agree to pay all fees associated with your chosen plan, plus any applicable commissions and taxes. Fees are non-refundable unless otherwise stated.

3.4 Billing and auto-renewal

Unless agreed otherwise: subscriptions renew automatically at the end of each billing period; you authorise Bulzz (or its payment provider) to charge the applicable subscription fee using your chosen payment method; you may cancel renewal at any time through your Bulzz account, effective at the end of the current billing period.

3.5 Late payment

If you fail to pay on time, Bulzz may suspend or downgrade your account, restrict access to certain features, or terminate the agreement. We may also charge late fees as permitted by law.

4. Acceptable use and restrictions

You agree not to:

• Misuse the platform for any unlawful or fraudulent activity;
• Store or transmit illegal, defamatory, or offensive content;
• Introduce malware or attempt to circumvent security;
• Resell or white-label the Service without our written consent;
• Attempt to reverse engineer or access the underlying source code of the Service except as allowed by law;
• Use Bulzz to spam or harass Customers.

We may monitor usage patterns (in a privacy-respecting way) to detect abuse and ensure platform stability.

5. Data roles and responsibilities

5.1 Customer data

For personal data of your Customers (names, contact details, booking history, notes, etc.) processed via Bulzz, you are the data controller and Bulzz acts as your data processor. As controller, you decide which personal data to collect and the purposes for which you use it; you must ensure you have a legal basis and provide appropriate privacy notices to data subjects.

5.2 Shop and staff data

For personal data relating to your owners, staff, and users of the Shop dashboard, Bulzz is a data controller (for account management, security, billing and analytics). Our Shop Owner Privacy & Data Processing Policy explains how we handle this data.

5.3 Data processing agreement

The data processing clauses in Section 10 of these Shop Terms form part of this agreement and govern how Bulzz processes Customer data on your behalf.

6. Intellectual property and licence

6.1 Bulzz IP

All intellectual property rights in the Bulzz platform, technology, and documentation are owned by Bulzz or its licensors. No rights are granted to you other than as expressly stated.

6.2 Licence to use the Service

Subject to these Shop Terms and payment of applicable fees, Bulzz grants you a limited, non-exclusive, non-transferable, non-sub-licensable licence to access and use the Service for your internal business operations as a grooming business.

6.3 Your content

You retain ownership of your business details, logos, price lists, service descriptions, and Customer records that you upload into Bulzz. You grant Bulzz a worldwide, non-exclusive, royalty-free licence to use this content for the purpose of providing, supporting, improving and promoting the Service (for example, to display your Shop profile to Customers).

7. Service levels, maintenance and changes

7.1 Availability

Bulzz aims for high availability but does not guarantee uninterrupted service. We may periodically perform scheduled maintenance.

7.2 Changes to the Service

We may modify features, introduce new functionality, or discontinue certain elements of the Service. We will endeavour to provide reasonable notice of major changes that significantly impact your use.

8. Confidentiality

Each party agrees to keep the other party's confidential information secret and to use it only for the purposes of performing this agreement, except where disclosure is required by law or with prior written consent.

Bulzz will treat your business data and Customer data as confidential, subject to our obligations under data protection laws.

9. Warranties, disclaimers and limitation of liability

9.1 Mutual warranties

Each party represents that it has the legal authority to enter into these Shop Terms.

9.2 Bulzz disclaimers

To the maximum extent permitted by law, Bulzz provides the Service "as is" and "as available"; disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement; and does not warrant that the Service will be error-free, secure or free of interruptions.

9.3 Limitation of liability

To the maximum extent permitted by law: Bulzz will not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue or data, arising out of or related to these Shop Terms or your use of the Service.

Bulzz's total aggregate liability to you for all claims in any 12-month period will not exceed the total fees actually paid by you to Bulzz in that period. Nothing limits liability for gross negligence, wilful misconduct, or any liability that cannot be limited under applicable law.

10. Data processing clauses (Bulzz as processor)

When processing personal data of your Customers on your behalf, the following apply:

10.1 Subject-matter and duration

Bulzz processes Customer personal data for the duration of your subscription, for the purposes of providing booking, queue, payment, CRM and analytics functionality.

10.2 Nature and purpose of processing

Bulzz stores, organises, transmits and analyses Customer data strictly to provide and improve the Service in accordance with your configuration and documented instructions.

10.3 Types of data and data subjects

Data subjects: your Customers and prospective Customers. Data types: identification details, contact details, booking history, notes, payment references, and any other data fields you create or upload.

10.4 Instructions

Bulzz will only process Customer personal data on your documented instructions, including those given via your use of the Service, except where required by law.

10.5 Confidentiality and security

Bulzz will ensure persons authorised to process Customer data are subject to confidentiality obligations, and implement appropriate technical and organisational security measures as required by law.

10.6 Sub-processors

You authorise Bulzz to engage sub-processors (such as cloud providers, SMS gateways, payment service providers) to process Customer data. Bulzz will ensure sub-processors are bound by data protection obligations no less protective than those in these Shop Terms. A list of key sub-processors will be made available on request.

10.7 Data subject rights assistance

Taking into account the nature of the processing, Bulzz will assist you, where reasonable, in fulfilling your obligation to respond to requests by data subjects to exercise their rights (access, rectification, erasure, restriction, objection, portability, etc.).

10.8 Data breach notification

Bulzz will notify you without undue delay after becoming aware of a personal data breach affecting Customer data, and provide information reasonably required for you to meet any legal notification obligations (e.g. to data subjects and the supervisory authority).

10.9 International transfers

Bulzz will not transfer Customer data outside Rwanda unless allowed under applicable data protection laws and with appropriate safeguards in place (e.g. standard contractual clauses approved by the supervisory authority).

10.10 Return or deletion of data

Upon termination or expiry of your subscription, Bulzz will, at your choice and subject to applicable law, provide you with an export of your Customer data and/or delete or anonymise Customer data stored in the Service after a reasonable retention period, except where we are required by law to retain it.

11. Term and termination

11.1 Term

These Shop Terms take effect when you accept them and continue until your subscription is terminated.

11.2 Termination by you

You may terminate your subscription at the end of any billing period by following the cancellation process in your Bulzz account.

11.3 Termination by Bulzz

Bulzz may suspend or terminate your access if you materially breach these Shop Terms and fail to cure the breach within 15 days of notice; you fail to pay fees; or we reasonably believe your use of the Service causes risk to Bulzz, other users, or violates law.

11.4 Effects of termination

Upon termination: your access to the Service will cease; outstanding fees become immediately due; data handling will be as described in Section 10.10.

12. Governing law and disputes

These Shop Terms are governed by the laws of Rwanda. Any disputes will be subject to the exclusive jurisdiction of the courts of Kigali, Rwanda, unless mandatory law provides otherwise.
